1. INTRODUCTION

These Terms and Conditions ("Agreement") govern the contractual relationship between Himalayan Shangrila Treks Nepal Pvt. Ltd., hereinafter referred to as "HimSan," "we," "our," or "us," and any individual or group making a booking for any trekking, mountaineering, expedition, tour, peak climbing, cultural journey, wildlife safari, adventure activity, or other travel service offered by HimSan, hereinafter referred to as the "Client," "Traveller," "you," or "your."

By submitting a booking request, paying a deposit or any part of the trip cost, or participating in any trip organized by HimSan, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions.

These Terms and Conditions form an integral part of the travel contract between the Client and HimSan.


2. OUR COMMITMENT

Himalayan Shangrila Treks Nepal Pvt. Ltd. is committed to providing professionally organized trekking, mountaineering, cultural, and adventure travel experiences throughout Nepal and selected destinations in the Himalayas.

Our experienced team strives to maintain high standards of safety, professionalism, environmental responsibility, and customer service. However, adventure travel in mountainous regions involves inherent risks that cannot be completely eliminated, regardless of the level of planning or precaution.

While HimSan takes every reasonable measure to reduce foreseeable risks, Clients acknowledge that participation in trekking and mountaineering activities is voluntary and involves personal responsibility.


3. NATURE OF ADVENTURE TRAVEL

Adventure travel differs significantly from conventional tourism.

Trips operated by HimSan may include travel through remote mountain regions where weather conditions, transportation, communication facilities, accommodation standards, and access to medical services may be limited.

  • Clients understand and accept that conditions may differ substantially from those found in urban destinations.

  • Potential risks include, but are not limited to:

  • High altitude and altitude-related illnesses;

  • Difficult terrain and uneven trails;

  • Extreme weather conditions;

  • Landslides, avalanches, rockfall, floods, earthquakes, and other natural hazards;

  • Delays or cancellations of domestic flights;

  • Limited medical facilities in remote areas;

  • Political or administrative disruptions;

  • Mechanical failures or transportation delays;

  • Injuries, illness, permanent disability, or death.

By participating in a HimSan trip, Clients acknowledge these inherent risks and voluntarily accept them.


4. DEFINITIONS

For the purposes of this Agreement:

Company means Himalayan Shangrila Treks Nepal Pvt. Ltd.

Client means any individual whose booking has been accepted by HimSan.

Trip refers to any trekking, expedition, mountaineering program, peak climbing, sightseeing tour, pilgrimage, cultural tour, wildlife safari, adventure activity, or travel package organized by HimSan.

Booking means the reservation made by the Client for any Trip offered by HimSan.

Leader means the designated trek leader, mountain guide, climbing guide, or tour leader appointed by HimSan.

Force Majeure means any event beyond the reasonable control of HimSan, including but not limited to natural disasters, severe weather, earthquakes, floods, landslides, avalanches, epidemics, pandemics, government actions, border closures, civil unrest, strikes, war, terrorism, transportation disruption, or other unforeseen circumstances.


5. ACCEPTANCE OF BOOKING

A booking shall be considered confirmed only after:

  • HimSan receives the required deposit;

  • Availability has been confirmed;

  • The Client receives written confirmation from HimSan by email or other official communication.

HimSan reserves the right to decline any booking request at its sole discretion before confirmation.


6. CROSS-BORDER TRAVEL AND PARTNER-OPERATED SERVICES

Himalayan Shangrila Treks Nepal Pvt. Ltd. ("HimSan") organizes and facilitates travel experiences not only within Nepal but also in other destinations, including but not limited to Tibet (China), Bhutan, India, and other Himalayan regions.

For certain international or cross-border itineraries, HimSan may operate trips in cooperation with licensed local travel companies, destination management companies, government-authorized agencies, transportation providers, hotels, guides, or other service partners in the destination country.

Where a trip involves services provided by a local partner, the Client acknowledges and agrees that the applicable terms, conditions, operational policies, permit requirements, and regulations of such partner and the destination country shall also apply.

By booking such a trip through HimSan, the Client agrees to comply with:

  • These Terms and Conditions of Himalayan Shangrila Treks Nepal Pvt. Ltd.;

  • The applicable terms and conditions of the local partner or service provider;

  • The laws, regulations, immigration requirements, permit conditions, and travel policies of the destination country.

HimSan will exercise reasonable care in selecting and coordinating with reliable local partners. However, certain services, including permits, transportation, accommodation, guides, border procedures, and government-required arrangements, may be controlled by third-party providers or authorities.

HimSan shall not be responsible for changes, delays, cancellations, additional expenses, or restrictions arising from decisions, regulations, or actions of foreign governments, immigration authorities, border offices, local partners, or other entities beyond HimSan's reasonable control.

Where applicable, the Client will be informed of any additional destination-specific conditions before departure.


7. TRIP PRICES

Unless otherwise stated, published trip prices include only those services specifically listed under the "Price Includes" section of the respective itinerary.

Items not expressly included shall be considered excluded.

Typical exclusions include, but are not limited to:

  • International airfare;

  • Nepal entry visa fees;

  • Personal travel insurance;

  • Emergency medical expenses;

  • Helicopter rescue and evacuation costs;

  • Passport and visa expenses;

  • Meals not specifically included;

  • Alcoholic beverages and bottled drinks;

  • Personal equipment and clothing;

  • Laundry services;

  • Telephone, internet, and communication charges;

  • Tips or gratuities for guides, porters, and support staff;

  • Personal shopping and incidental expenses;

  • Costs arising from flight delays, weather disruptions, or personal circumstances.

Clients are responsible for reviewing the detailed inclusions and exclusions provided for their chosen itinerary.


8. PRICING POLICY

All quotations are prepared based on prevailing operating costs, government taxes, transportation fares, exchange rates, permit fees, and other expenses applicable at the time of quotation.

HimSan reserves the right to revise the total trip price before final payment if significant changes occur due to:

  • Government taxes or fees;

  • National park or conservation permit charges;

  • Airline fare increases;

  • Fuel surcharges;

  • Currency exchange fluctuations;

  • Inflation affecting operational costs;

  • Changes required by governmental authorities.

Any such adjustments will be communicated to the Client as soon as reasonably practicable.


9. BOOKING DEPOSIT

To confirm a booking, Clients are generally required to pay a non-refundable deposit of 20% of the total trip cost, unless otherwise agreed in writing.

The deposit allows HimSan to secure permits, accommodation, transportation, domestic flights, guides, porters, and other services necessary for trip operation.

For certain expeditions, customized programs, helicopter services, or peak climbing trips, a higher deposit may be required. Any such requirement will be clearly communicated before booking confirmation.


10. FINAL PAYMENT

Unless otherwise agreed in writing, the remaining balance of the trip cost must be paid before the commencement of the trip.

HimSan reserves the right to withhold travel documents, permits, domestic flight tickets, climbing permits, or other trip-related services until full payment has been received.

Failure to make payment within the agreed timeframe may result in cancellation of the booking without further obligation on the part of HimSan.


11. METHODS OF PAYMENT

Payments may be made through one or more of the following methods:

  • International bank transfer;

  • Secure online payment gateway;

  • Credit or debit card;

  • Cash payment in Nepal (where legally permissible);

  • Other payment methods approved by HimSan.

Any bank charges, intermediary transfer fees, payment gateway charges, currency conversion fees, or credit card processing fees imposed by financial institutions shall be borne by the Client unless otherwise agreed.

A payment shall be deemed received only when cleared funds are credited to HimSan's designated account.


12. PASSPORT, VISA AND TRAVEL DOCUMENTS

The Client is solely responsible for ensuring that they possess a valid passport, the required entry visa(s), travel permits, vaccination certificates (where applicable), and all other documentation necessary for travel to and within Nepal or any destination included in the itinerary.

Unless otherwise agreed in writing, HimSan may provide general information regarding visa procedures or permit requirements; however, such information is provided for guidance only and does not constitute legal or immigration advice.

Any expenses, delays, losses, or cancellation resulting from incomplete, expired, incorrect, or insufficient travel documentation shall be the sole responsibility of the Client.


13. TREKKING PERMITS AND GOVERNMENT REGULATIONS

Where applicable, HimSan will arrange the trekking permits, conservation area permits, national park permits, climbing permits, and other government authorizations required for the booked itinerary, provided that the Client has submitted all required documents and information within the requested timeframe.

Permit fees are subject to change without prior notice by the Government of Nepal or the relevant authorities. Any increase in permit fees imposed after the booking confirmation shall be payable by the Client.

Clients must comply with all laws, regulations, and instructions issued by the Government of Nepal and the relevant local authorities throughout the duration of the trip.


14. TRAVEL INSURANCE

Comprehensive travel insurance is mandatory for all Clients participating in trekking, peak climbing, mountaineering, expeditions, or other adventure activities organized by HimSan.

The insurance policy should remain valid for the entire duration of the trip and should provide adequate coverage for, at a minimum:

  • Emergency medical treatment;

  • Hospitalization;

  • High-altitude trekking and mountaineering activities (where applicable);

  • Emergency helicopter rescue and evacuation;

  • Repatriation in the event of serious illness or death;

  • Trip cancellation or interruption;

  • Loss, theft, or damage of baggage and personal belongings.

It is the Client's responsibility to ensure that their insurance policy specifically covers the activities and maximum altitude of their chosen itinerary.

HimSan reserves the right to request proof of insurance before the commencement of the trip.

Failure to obtain adequate insurance shall be entirely at the Client's own risk.


15. HEALTH, MEDICAL FITNESS AND DISCLOSURE

Adventure travel in the Himalayas requires an appropriate level of physical fitness and mental preparedness.

By booking a trip with HimSan, the Client confirms that they are medically fit to participate in the chosen itinerary.

Prior to departure, Clients must disclose any medical condition that may affect their participation, including but not limited to:

  • Cardiovascular disease;

  • Respiratory disorders;

  • Diabetes;

  • Epilepsy;

  • Severe allergies;

  • Recent surgery or hospitalization;

  • Pregnancy;

  • Mental health conditions;

  • Any condition requiring regular medication or medical supervision.

Failure to disclose relevant medical information may result in removal from the trip if, in the opinion of the Trek Leader or medical personnel, continued participation presents an unreasonable risk to the Client or to other members of the group.

Where reasonably requested, HimSan may require a medical fitness certificate issued by a licensed physician before confirming participation.


16. HIGH ALTITUDE RISKS

Many of HimSan's trekking and mountaineering itineraries involve travel to elevations where reduced oxygen levels may cause altitude-related illnesses.

Clients acknowledge that they have been informed of the potential risks associated with high-altitude travel, including but not limited to:

  • Acute Mountain Sickness (AMS);

  • High Altitude Pulmonary Edema (HAPE);

  • High Altitude Cerebral Edema (HACE).

  • Altitude illness can affect any individual regardless of age, physical fitness, or previous trekking experience.

Clients agree to:

  • Follow the acclimatization schedule provided by HimSan;

  • Inform the guide immediately of any symptoms of altitude illness;

  • Follow all medical advice and safety instructions given by the Trek Leader or medical personnel;

  • Accept descent or evacuation when recommended for safety reasons.

If a Client refuses the guide's safety instructions regarding altitude-related illness, HimSan reserves the right to terminate that Client's participation without liability for any resulting loss or expense.


17. EMERGENCY MEDICAL TREATMENT AND EVACUATION

In the event of illness, injury, or any medical emergency, HimSan shall make reasonable efforts to arrange appropriate assistance based on the circumstances and the availability of local resources.

Where immediate medical attention or evacuation is considered necessary by the Trek Leader, licensed medical personnel, or emergency responders, HimSan may arrange transportation by helicopter, vehicle, or other available means.

The Client authorizes HimSan to coordinate such emergency arrangements when the Client is unable to do so personally.

Unless expressly covered by HimSan in writing, all costs associated with medical treatment, rescue operations, helicopter evacuation, hospitalization, medication, accommodation during recovery, and repatriation shall remain the sole responsibility of the Client or their travel insurance provider.

HimSan cannot guarantee that helicopter evacuation or rescue services will always be available, as such services remain subject to weather conditions, daylight, aviation regulations, operational limitations, and government authorization.


18. DOMESTIC FLIGHTS, WEATHER AND TRANSPORTATION

Many trekking regions in Nepal depend on domestic flights that operate in mountainous terrain where weather conditions may change rapidly.

Flight delays, cancellations, diversions, or schedule changes are common and are beyond the control of HimSan.

Where possible, HimSan will assist Clients in arranging alternative transportation or revised travel arrangements.

Any additional expenses arising from weather-related delays, extended accommodation, meals, transportation, or revised itineraries shall be the responsibility of the Client unless otherwise specified in writing.

Clients are strongly advised to keep sufficient contingency funds and allow additional time in their travel schedule before international departures.


19. ITINERARY CHANGES

The published itinerary represents the planned schedule of the trip.

However, for reasons relating to safety, weather conditions, natural disasters, government regulations, transportation disruptions, health emergencies, or any other circumstance beyond reasonable control, HimSan reserves the right to modify:

  • Trekking routes;

  • Daily walking schedules;

  • Accommodation;

  • Transportation;

  • Flight arrangements;

  • Guides or support staff;

  • Campsites;

  • Activities included in the itinerary.

Such changes shall be made only when reasonably necessary to protect the safety, welfare, or successful operation of the trip.

Whenever practical, HimSan will consult with Clients before implementing significant itinerary changes.

No refund shall be payable solely because of itinerary modifications made for safety or operational reasons.


20. CLIENT RESPONSIBILITIES

Clients agree to:

  • Follow the instructions of the Trek Leader, guides, and support staff at all times;

  • Respect local customs, traditions, religious sites, and cultural practices;

  • Comply with all laws and regulations of Nepal;

  • Exercise reasonable care for their own safety and the safety of others;

  • Protect the natural environment by avoiding littering and minimizing environmental impact;

  • Refrain from carrying or using illegal drugs, prohibited substances, or unlawful weapons;

  • Treat fellow travellers, local communities, guides, porters, and staff with courtesy and respect.

Clients are responsible for their own personal belongings throughout the trip.


21. AUTHORITY OF THE TREK LEADER

The decisions of the Trek Leader or Expedition Leader concerning the safety, health, welfare, or orderly conduct of the trip shall be final.

The Trek Leader may require a Client to discontinue trekking, descend to a lower altitude, receive medical treatment, or withdraw from the trip where continued participation is considered unsafe.

HimSan reserves the right to remove any Client whose conduct:

  • Endangers themselves or others;

  • Disrupts the group;

  • Violates local laws;

  • Fails to comply with safety instructions;

  • Causes harassment, abuse, discrimination, or inappropriate behaviour toward staff or fellow travellers.

In such cases, the Client shall not be entitled to any refund or compensation for unused services.


22. PERSONAL BELONGINGS

Clients remain solely responsible for safeguarding their personal belongings, travel documents, cash, electronics, cameras, and valuables throughout the trip.

While HimSan and its staff will exercise reasonable care in handling Clients' luggage where applicable, HimSan shall not be liable for loss, theft, damage, or delay involving personal property except where such loss results directly from proven negligence on the part of HimSan.

Clients are encouraged to obtain appropriate insurance coverage for personal belongings.


23. CANCELLATION BY THE CLIENT

Any cancellation request must be submitted to HimSan in writing by email or other official written communication. The effective date of cancellation shall be the date on which HimSan receives the written notice.

Unless otherwise agreed in writing or unless different conditions apply to a specific expedition or customized itinerary, the following cancellation policy shall apply:

Certain costs, including government permit fees, climbing royalties, domestic flight tickets, hotel reservations, and third-party services that have already been confirmed or paid, may be non-refundable irrespective of the above schedule.

Any refund approved by HimSan shall be processed within a reasonable period after deducting applicable bank charges, payment gateway fees, currency conversion charges, and other non-recoverable costs.


24. CANCELLATION OR MODIFICATION BY HIMSAN

HimSan reserves the right to cancel, postpone, or modify a trip where reasonably necessary due to circumstances beyond its control or where the safe and practical operation of the trip is no longer possible.

Examples include, but are not limited to:

  • Severe weather;

  • Natural disasters;

  • Government restrictions;

  • Border closures;

  • Civil unrest;

  • Epidemics or pandemics;

  • Transportation disruption;

  • Safety or security concerns;

  • Insufficient minimum group size for a scheduled group departure.

Where a trip is cancelled by HimSan before departure, the Client may be offered one or more of the following options, subject to the circumstances:

  • Transfer to another available departure date;

  • Transfer to another HimSan itinerary;

  • A travel credit valid for a future booking;

  • A refund of recoverable payments after deduction of any unrecoverable costs already paid to third-party suppliers.

HimSan shall not be responsible for consequential losses, including but not limited to international airfare, visa fees, travel insurance premiums, accommodation booked independently by the Client, or other incidental expenses.


25. BOOKING AMENDMENTS

Requests to change travel dates, itinerary, group size, or other booking details should be submitted in writing as early as possible.

HimSan will make reasonable efforts to accommodate such requests; however, amendments are subject to availability and may incur additional costs.

Any increase in permit fees, airline fares, accommodation costs, transportation charges, or supplier fees resulting from the requested amendment shall be payable by the Client.

Certain permits, airline tickets, or government fees may not be transferable once issued.


26. UNUSED SERVICES

No refund, credit, or compensation shall be provided for any unused accommodation, meals, transportation, permits, guide services, or other arrangements included in the itinerary where the Client:

  • Voluntarily leaves the trip;

  • Chooses not to use booked services;

  • Arrives late;

  • Departs early;

  • Is removed from the trip for safety or disciplinary reasons.

Exceptions may be considered solely at the discretion of HimSan where circumstances justify such consideration.


27. FORCE MAJEURE

HimSan shall not be liable for any delay, cancellation, alteration, loss, damage, injury, or additional expense arising directly or indirectly from events beyond its reasonable control.

Force Majeure events include, but are not limited to:

  • Earthquakes;

  • Floods;

  • Landslides;

  • Avalanches;

  • Severe weather;

  • Epidemics or pandemics;

  • Government orders or restrictions;

  • Border closures;

  • Political instability;

  • War;

  • Terrorism;

  • Civil disturbances;

  • Industrial strikes;

  • Transportation interruptions;

  • Airline operational decisions;

  • Power failures;

  • Communication network failures; or

  • Any other unforeseen event that prevents the safe or practical operation of the trip.

Where reasonably possible, HimSan will make every effort to minimize disruption and assist Clients in making alternative arrangements.


28. THIRD-PARTY SERVICE PROVIDERS

HimSan works with carefully selected airlines, hotels, teahouses, transportation providers, helicopter operators, local guides, porters, restaurants, and other independent service providers.

Although HimSan exercises reasonable care in selecting these providers, they operate independently and are responsible for their own services.

Accordingly, HimSan shall not be liable for any act, omission, negligence, delay, cancellation, insolvency, or default of any independent third-party supplier, except where liability arises directly from HimSan's own negligence under applicable law.


29. LIMITATION OF LIABILITY

To the fullest extent permitted by the laws of Nepal, HimSan's liability shall be limited to the amount actually paid by the Client for the booked services.

HimSan shall not be liable for indirect, consequential, incidental, exemplary, or punitive damages, including but not limited to:

  • Loss of enjoyment;

  • Loss of income;

  • Business interruption;

  • Missed international flights;

  • Additional accommodation;

  • Personal expenses;

  • Emotional distress;

  • Loss of opportunity.

Nothing contained in these Terms and Conditions shall exclude or limit liability where such exclusion is prohibited under applicable law.


30. COMPLAINTS

If the Client is dissatisfied with any aspect of the trip, the matter should be reported immediately to the Trek Leader or HimSan representative so that reasonable efforts may be made to resolve the issue during the trip.

If the matter remains unresolved, the Client should submit a written complaint to HimSan within fourteen (14) days after completion of the trip.

Complaints submitted after this period may be more difficult to investigate and may not be considered.


31. PHOTOGRAPHS, VIDEOS AND MARKETING

During the trip, HimSan may capture photographs or videos for promotional, educational, or marketing purposes.

Unless the Client notifies HimSan in writing before the commencement of the trip, the Client grants HimSan a non-exclusive, royalty-free right to use photographs or video recordings in which the Client may appear for promotional purposes, including publication on websites, social media platforms, brochures, and other marketing materials.

Clients who prefer not to appear in promotional content should notify HimSan before the trip begins.


32. PRIVACY AND PERSONAL INFORMATION

HimSan respects the privacy of its Clients and collects personal information only for purposes related to trip administration, permit processing, booking management, emergency response, legal compliance, and customer communication.

Personal information shall be handled with reasonable care and will not be sold or knowingly disclosed to unauthorized third parties except where required:

  • To arrange travel services;

  • To comply with legal obligations;

  • To protect the safety of the Client;

With the Client's consent.

33. INTELLECTUAL PROPERTY

All content published by HimSan, including but not limited to its website, itineraries, brochures, photographs, videos, graphics, logos, trademarks, and written materials, remains the intellectual property of Himalayan Shangrila Treks Nepal Pvt. Ltd. or its respective licensors.

No material may be copied, reproduced, distributed, modified, or used for commercial purposes without prior written permission from HimSan.


34. GOVERNING LAW AND JURISDICTION

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Nepal.

Any dispute arising out of or relating to these Terms and Conditions or any services provided by HimSan shall first be addressed through good-faith negotiations between the parties.

If the dispute cannot be resolved amicably, it shall be submitted to the competent courts of Nepal, which shall have exclusive jurisdiction.


35. SEVERABILITY

If any provision of these Terms and Conditions is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.


36. ENTIRE AGREEMENT

These Terms and Conditions, together with the confirmed itinerary, booking confirmation, and any written amendments agreed by HimSan, constitute the entire agreement between the parties and supersede all previous verbal or written communications relating to the booked services.

No employee, guide, porter, representative, or agent of HimSan is authorized to alter these Terms and Conditions unless such amendment is made in writing and approved by an authorized director of the Company.


37. AMENDMENTS TO THESE TERMS

HimSan reserves the right to revise or update these Terms and Conditions from time to time.

The version in effect on the date of booking shall apply to the Client's confirmed reservation unless otherwise agreed in writing.


38. ACCEPTANCE OF TERMS

By submitting a booking request, paying a deposit, signing a booking form, or participating in any trip organized by Himalayan Shangrila Treks Nepal Pvt. Ltd., the Client confirms that they have:

Read these Terms and Conditions in full;

  • Understood their contents;

  • Had the opportunity to ask questions before booking;

  • Accepted the inherent risks associated with adventure travel;

Agreed to be legally bound by these Terms and Conditions.
